Welcome to CoFoundrys. These Terms of Use (“Terms”) govern your access to and use of the CoFoundrys website, forms, communications, review processes, validation pathways, and related services provided through or in connection with CoFoundrys (collectively, the “Platform”).
By accessing or using the Platform, submitting information, joining a waitlist, applying as a founder, expressing interest as a supporter, strategic supporter, investor, contributor, or ecosystem participant, or otherwise interacting with CoFoundrys, you agree to these Terms.
If you do not agree to these Terms, please do not use the Platform.
1. About CoFoundrys
CoFoundrys is being developed as a startup discovery, validation, and ecosystem-participation platform. The Platform is intended to help founders structure early discovery, test assumptions, evaluate startup readiness, collect relevant evidence, and prepare stronger context before engaging potential supporters, strategic contributors, co-founders, investors, or the broader market.
CoFoundrys may provide or facilitate access to structured questionnaires, founder applications, project intake forms, validation frameworks, review processes, feedback, ecosystem participation opportunities, and related communications.
CoFoundrys may also help organize information about startup projects, founders, supporters, strategic participants, investors, and other ecosystem participants in order to support early-stage discovery, pre-validation, signal generation, and decision-quality improvement.
2. Platform Role
CoFoundrys is a platform for startup-related discovery, validation, review, and ecosystem engagement. CoFoundrys does not guarantee that any project, founder, idea, submission, company, team, or opportunity will be accepted, validated, published, introduced, supported, funded, invested in, partnered with, acquired, commercialized, or successful.
CoFoundrys may review, structure, analyze, summarize, process, classify, prioritize, or otherwise evaluate information submitted through the Platform. Any such review is intended for internal assessment, validation, discovery, ecosystem-participation, and platform-development purposes.
CoFoundrys may decline, defer, remove, limit, or discontinue review of any submission at its discretion.
3. Pre-Launch Platform and Informational Use
CoFoundrys is currently operating as a pre-launch platform and early validation initiative. At this stage, the Platform is intended for informational purposes, project intake, interest collection, founder discovery, validation-related review, and ecosystem-participation assessment.
At this stage, CoFoundrys does not accept payments, process transactions, collect donations, receive investments, sell subscriptions, charge platform fees, facilitate financial transfers, or enable users to make monetary contributions through the Platform.
Any forms, waitlists, applications, or expressions of interest available through the Platform are intended only to collect information and evaluate potential future participation. Submitting a form, joining a waitlist, or expressing interest does not create any financial, investment, advisory, partnership, employment, agency, or commercial relationship with CoFoundrys or any other user.
CoFoundrys may change, expand, limit, or discontinue its pre-launch activities at any time.
4. No Regulated Financial, Investment, Crowdfunding, or Transaction Services

The Platform does not offer, sell, solicit, recommend, arrange, broker, process, or facilitate the purchase or sale of securities, loans, equity interests, investment contracts, tokens, digital assets, debt instruments, donations, financial products, or other regulated instruments.
At this stage, CoFoundrys does not process payments, contributions, donations, investments, pledges, subscriptions, platform fees, or other monetary transactions.

- a commitment to introduce any founder to investors, supporters, advisors, or strategic partners.
Any future investment, financing, commercial, advisory, partnership, or other transaction between users or third parties must be conducted independently, outside the Platform, and in compliance with all applicable laws and regulations.
If CoFoundrys later introduces features that may involve payments, regulated financial activity, securities offerings, investment facilitation, crowdfunding, or other regulated services, such features will be subject to separate terms, policies, disclosures, eligibility requirements, compliance procedures, and, where required, applicable registrations, licenses, approvals, or professional review.
Users are solely responsible for obtaining their own legal, financial, tax, investment, and professional advice before entering into any transaction, agreement, investment, partnership, or commercial relationship.

8. Supporters, Strategic Supporters, and Ecosystem Participants
Supporters, strategic supporters, contributors, advisors, mentors, and other ecosystem participants may express interest in supporting, reviewing, advising, mentoring, contributing to, collaborating with, or otherwise engaging with founders or projects.
Such participation is voluntary and does not guarantee access to projects, founder introductions, commercial opportunities, compensation, returns, ownership, repayment, investment rights, advisory rights, or any other benefit.
Unless a separate written agreement is executed between the relevant parties, no user should assume that participation creates any legal, financial, commercial, employment, investment, advisory, or fiduciary relationship.
CoFoundrys does not guarantee the conduct, reliability, quality, intentions, performance, financial capacity, professional background, or suitability of any supporter, founder, investor, contributor, or other participant.
9. Investors and Investment-Related Interest

However, CoFoundrys does not provide investment recommendations, does not conduct securities offerings, does not facilitate investment transactions, and does not verify that any user is qualified or permitted to participate in any regulated investment activity.
Information made available through CoFoundrys, if any, is intended for discovery, preliminary review, pre-validation context, and ecosystem-participation purposes only. It should not be relied upon as investment advice, due diligence, legal advice, financial advice, tax advice, or a recommendation to invest.
Any investor or investment-related participant is solely responsible for conducting independent due diligence, obtaining professional advice, and complying with applicable securities laws, investment regulations, accreditation requirements, sanctions rules, tax rules, and other legal obligations.
For clarity, investor-related participation on the Platform is limited to expressions of interest, discovery, preliminary review, and ecosystem observation. CoFoundrys does not provide access to securities offerings, investment subscriptions, investment contracts, cap tables, subscription agreements, investment documents, payment flows, escrow arrangements, or transaction execution through the Platform.
No information provided through the Platform should be treated as due diligence, investment analysis, investment recommendation, investment solicitation, or confirmation that any founder, company, project, or opportunity is legally or commercially suitable for investment.

By submitting content to the Platform, you grant CoFoundrys a non-exclusive, worldwide, royalty-free license to access, receive, store, host, reproduce as reasonably necessary, organize, review, analyze, summarize, classify, and otherwise process your submitted content solely for the purposes of operating the current application and review processes, communicating with you, conducting validation-related assessments, maintaining relevant records, and fulfilling the purposes described in the Privacy Policy.

You represent and warrant that you own or have the necessary rights to submit all content you provide and that your content does not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, confidentiality rights, privacy rights, publicity rights, contractual rights, or legal rights.
For clarity, any license granted to CoFoundrys for submitted materials is subject to the applicable provisions of the Privacy Policy and does not, by itself, authorize public disclosure or distribution of non-public founder materials to supporters, investors, or other external ecosystem participants.
CoFoundrys may use authorized third-party service providers to receive, store, organize, and process submitted materials for the purposes described in these Terms and the Privacy Policy. Such use does not transfer ownership of submitted intellectual property to CoFoundrys or its service providers.
Any disclosure of non-public supporting documentation or internal project assessments to external ecosystem participants will be subject to applicable legal requirements and the authorization procedures described in the Privacy Policy.
12. Confidentiality and Sensitive Information
CoFoundrys is not intended to function as a confidential disclosure channel, legal repository, data room, or substitute for a non-disclosure agreement.

If a separate confidentiality agreement is required, it must be agreed in writing by the relevant parties before confidential information is disclosed.
CoFoundrys may take reasonable steps to protect submitted information, but it does not guarantee absolute confidentiality or security of any submission.
